Orders are subject to the Conditions hereunder. Quotations on price and delivery are given in good faith and after careful consideration of all the factors obtaining at the time. They are, however, an estimate and as such, must not be considered binding or to the essence of the Contract. All prices quoted are exclusive of all value added tax or any other tax which may be applicable from time to time. A charge will be made for all deliveries except where the customer’s location is within the province of our delivery service or a convenient time for despatching. Terms are strictly Nett for approved accounts and payment must be made 30 days following month of Invoice. Other customer terms by arrangement. In default of our Terms of payment, an interest charge at the rate of 5% above Lloyds Bank base rate may be made from time to time at the discretion of the Seller. Complaints in respect of damaged goods or numerical discrepancies must be notified within 3 days from receipt of goods by customer, otherwise claims cannot be entertained. Errors arising from faulty workmanship and/or materials, or deviations from drawing or written instructions, must be advised by the customer in writing within 2 weeks from receipt of goods, otherwise, claims cannot be entertained. All claims are limited to the total price invoiced by the seller for that particular item. In the event of liability for goods not conforming to the Contract, the seller shall replace the same, as soon as is reasonably practical, providing the originals are returned in an unused condition to the seller. The Purchaser agrees to indemnify the Seller for any infringement of copyright or patent in respect of any goods ordered. Departures from normal manufacturing procedures or deviations from drawing as requested by the customer must be confirmed in writing. The Seller will not accept responsibility for misinterpretation of orders placed by the telephone and not confirmed in writing by the buyer. Nor for misreading dimensions or misunderstanding language translation from sub-standard drawings. Every effort will be made to obtain clarification and confirmation where a doubt exists, before commencement of production. Whilst the Seller will accept customer’s own free issue materials for processing, this shall in no way imply endorsement for suitability for applications intended. Every care and attention will be given to the use of customer’s materials, but the Seller will accept no responsibility if subsequent processing reveals an incompatibility or inconsistency between supplied and applied substances. a) The Company shall be under no liability for any delays loss or damage caused wholly or in part by war, civil commotion, act of god, or by any act done pursuant to a trade dispute whether such dispute involves the Company’s servants or not. b) The Company shall be granted all necessary time and indulgence necessary in the event of fire, breakdown of machinery or other circumstances beyond its reasonable control and shall not be liable for any delays, loss or damage caused thereby. Property in the goods shall only pass to the purchaser from the date of payment in full of all the sums payable to the Seller. Until such a time the goods remain the absolute property of the Seller. In default of payment by the Purchaser when lawfully demanded by the Seller, the Seller shall be entitled to enter the premises of the purchaser and recover goods previously supplied by the Seller, but of his own choice, up to the value of his unpaid Invoices. Only after this has taken place, will any goods become the property of the purchaser. The purchaser shall store and label the goods separately from other goods in its possession, so that the goods are easily identifiable as belonging to the Seller, and are fully traceable to Invoice numbers issued by the Seller. Unless otherwise agreed, risk shall pass to the Purchaser from the date of delivery for the goods by the Seller or his agent or the carrier to the Purchaser, or the purchaser or its agents or Carriers collection of goods. Any return of the goods or part thereof from the Purchasers premises, shall be at the risk of the Purchaser unless such goods are carried by the Seller, his agent or carrier. Then they shall be at the Seller’s risk. Acceptance of goods implies acceptance of these Terms and Conditions. |
